ShiftDesk for iPhone and iPad — Licence Agreement (EULA)
Version 1.0 · 29 October 2026
This licence agreement (the "Licence") is between you and FLOWTC LTD, a company registered in England and Wales with company number 16938969 ("we", "us"). It covers the ShiftDesk app for iPhone and iPad and its updates (the "App"), which you get from the App Store. By downloading or using the App you agree to this Licence. If you do not agree, do not download or use the App.
Your use of the ShiftDesk online service (accounts, connections through our servers and paid plans) is also governed by our Terms of Service and our Privacy Policy at getshiftdesk.com, and the App's own privacy policy at getshiftdesk.com/privacy-ios.html. If this Licence and the Terms of Service conflict about the App, this Licence applies.
1. Between you and us, not Apple
This Licence is concluded between you and FLOWTC LTD only, and not with Apple Inc. ("Apple"). We, not Apple, are solely responsible for the App and its content.
2. Your licence
We grant you a non-transferable licence to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may also be accessed and used by other accounts associated with you through Family Sharing or volume purchasing. You may use the App only for purposes within the limits of your ShiftDesk plan and our Terms of Service.
3. What you must not do
Except to the extent applicable law expressly allows it and the right cannot be excluded by agreement, you must not, and must not help or allow anyone else to:
- reverse engineer, decompile or disassemble the App, or otherwise try to obtain its source code, algorithms, protocols or file formats;
- modify, adapt, translate or patch the App, or create derivative works of it;
- remove, bypass, disable or interfere with plan limits, encryption, security features or other technical protection of the App or the service;
- access our servers with automated tools, scripts or modified clients;
- sell, rent, lease, lend, sublicense, distribute or publish the App;
- use the App to access or control a computer without the permission of its owner or user, or otherwise in breach of the law or our Terms of Service.
4. Open-source components
The App includes open-source components, listed under Settings › Open-source licences in the App. Each component is licensed to you under its own licence, and nothing in this Licence limits the rights those licences give you.
5. Ownership
The App is licensed, not sold. We and our licensors own all rights in it, including copyright and the ShiftDesk name and logo. You receive only the rights this Licence expressly grants.
6. Maintenance and support
We are solely responsible for providing any maintenance and support for the App, as described in this Licence or required under applicable law. You can reach us at [email protected]. Apple has no obligation whatsoever to furnish any maintenance and support services for the App.
7. Warranty
We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App, if any, to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be our sole responsibility. If you are a consumer, you have legal rights when digital content is faulty or not as described, and nothing in this Licence affects them. Our responsibility for the App is set out in section 9 of our Terms of Service; to the extent the law allows, we give no other promises about the App.
8. Product claims
We, not Apple, are responsible for addressing any claims by you or any third party relating to the App or your possession and use of it, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation.
9. Intellectual property rights
If a third party claims that the App or your possession and use of it infringes that third party's intellectual property rights, we, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of any such claim.
10. Legal compliance
You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. You must also comply with the export control and sanctions laws of the United Kingdom and other countries that apply to the App.
11. Third-party terms
You must comply with any applicable third-party terms when using the App, for example your mobile data or internet provider's agreement.
12. Third-party beneficiary
Apple and Apple's subsidiaries are third-party beneficiaries of this Licence, and upon your acceptance of it, Apple will have the right (and will be deemed to have accepted the right) to enforce this Licence against you as a third-party beneficiary.
13. Ending this Licence
You may end this Licence at any time by deleting the App. It ends automatically if you break it, and we may end it with notice if we stop providing the App. When it ends you must stop using the App and delete it. Sections 1, 3, 5, 7, 8, 9 and 12 continue after it ends.
14. General
This Licence, together with our Terms of Service and the privacy policies above, is the whole agreement between us about the App. If a court finds part of it invalid, the rest stays in force. If we do not enforce a right straight away, we can still enforce it later. Apart from Apple as section 12 says, nobody else has rights under this Licence. We may update this Licence; the App or the App Store will tell you about important changes. This Licence is governed by the law of England and Wales. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live and may bring a claim in its courts. If this Licence is translated, the English version prevails.
