ShiftDesk Licence Agreement
Version 1.0 · 25 October 2026
This licence agreement (the "Licence") is between you and FLOWTC LTD, a company registered in England and Wales with company number 16938969 ("we", "us"). It covers the ShiftDesk desktop apps, their updates and the files that come with them (the "Software"). Please read it before you install or use the Software. By selecting "I accept", or by installing or using the Software, you agree to this Licence. If you do not agree, do not install or use the Software.
Your use of the ShiftDesk online service (accounts, connections through our servers, the browser client and paid plans) is also governed by our Terms of Service and our Privacy Policy at getshiftdesk.com. If this Licence and the Terms of Service conflict about the Software, this Licence applies.
1. Your licence
We grant you a personal, non-exclusive, non-transferable and revocable licence to install and use the Software on computers you own or are allowed to administer, for the purposes and within the limits of your ShiftDesk plan. If you accept this Licence on behalf of an organisation, you confirm that you may bind it, and "you" includes that organisation.
2. What you must not do
Except to the extent that applicable law expressly allows it and that right cannot be excluded by agreement, you must not, and must not help or allow anyone else to:
- reverse engineer, decompile or disassemble the Software, or otherwise try to obtain its source code, algorithms, protocols or file formats;
- modify, adapt, translate or patch the Software, create derivative works of it, or merge it into other software;
- remove, bypass, disable or interfere with licence checks, plan limits, encryption, security features or other technical protection of the Software or the service;
- access our servers with automated tools, scripts or modified clients, other than the ShiftDesk apps and the interfaces we document (such as the MCP connector);
- copy the Software, except as needed to install and use it and to keep a backup;
- sell, rent, lease, lend, sublicense, distribute or publish the Software, or provide it to others as a hosted or managed service (you may share the official download link at getshiftdesk.com);
- remove or change copyright, trade mark or other notices in the Software;
- use the Software to build a competing product or to copy its features, design or user interface;
- use the Software in breach of the law or of our Terms of Service, including to access a computer without the permission of its owner or user.
Where the law allows decompilation to achieve interoperability (for example section 50B of the UK Copyright, Designs and Patents Act 1988 or Article 6 of EU Directive 2009/24/EC), you may do so only within the strict limits of that law, and only where the information you need is not already readily available. Please ask us for it first at [email protected].
3. Open-source components
The Software includes open-source components. They are listed with their licences under "Open-source licences" in the app and at getshiftdesk.com/third-party-notices.txt. Each component is licensed to you under its own licence. Nothing in this Licence limits the rights those licences give you. Where an open-source licence grants rights that conflict with this Licence (for example the right to modify a component licensed under the GNU Lesser General Public License and to reverse engineer the Software to debug such changes), that licence prevails for that component only. On request at [email protected] we provide the material those licences require us to make available, such as the object files needed to relink the Software with a modified library.
4. Ownership
The Software is licensed, not sold. We and our licensors own all rights in it, including copyright, the ShiftDesk name and logo, and know-how. You receive only the rights this Licence expressly grants.
5. Updates
We may provide updates that fix problems, improve security or change features. Some updates may be needed to keep connecting through our service. This Licence applies to every update unless an update comes with a different licence.
6. Your responsibilities
You are responsible for the computers you install the Software on, for the people you allow to connect, and for the passwords, codes and unattended-access settings you choose. If you let an AI assistant control computers through the Software, you remain responsible for what it does.
7. Ending this Licence
You may end this Licence at any time by uninstalling the Software. It ends automatically if you break it, and we may end it by notice if we stop providing the Software. When it ends you must stop using the Software and delete every copy. Sections 2, 3, 4, 8 and 10 continue after it ends.
8. Warranty and liability
If you are a consumer, you have legal rights when digital content is faulty or not as described, and nothing in this Licence affects them. Our responsibility for the Software is set out in section 9 of our Terms of Service. To the extent the law allows, we give no other promises about the Software.
9. Export and sanctions
You must comply with the export control and sanctions laws that apply to the Software, and must not use it in or for countries, people or purposes those laws prohibit.
10. General
This Licence, together with the Terms of Service and the Privacy Policy, is the whole agreement between us about the Software. If a court finds part of it invalid, the rest stays in force. We may transfer our rights and obligations to another organisation; you may not transfer yours without our written consent. If we do not enforce a right straight away, we can still enforce it later. Nobody else has rights under this Licence. We may update this Licence; the app asks you to accept a new version before you continue to use it.
This Licence is governed by the law of England and Wales. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live and may bring a claim in its courts. If this Licence is translated, the English version prevails.
